IMPORTANT NOTICE: BY ACCESSING OR USING THE Assura PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dassae Ltd, trading as Assura ("Assura", "we", "us" or "our"), governing your access to and use of the Assura platform, including all associated websites, applications, software, APIs, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into these Terms;
- If you are using the Service on behalf of an organisation, you have the authority to bind that organisation to these Terms;
- You will comply with all applicable laws, regulations, and these Terms;
- All information you provide to us is accurate, current, and complete.
2. Description of Service
Assura provides an AI-powered compliance assessment platform designed to assist organisations with security compliance workflows. The Service includes, but is not limited to:
- Compliance assessment tools and questionnaires;
- AI-assisted analysis and recommendations;
- Risk register and management features;
- Document generation and reporting;
- Integration with third-party services;
- Dashboard and analytics features.
INFORMATIONAL PURPOSES ONLY: The Service is provided for informational and operational assistance purposes only. Assura does not provide legal, regulatory, or professional compliance advice. The Service is not a substitute for professional legal counsel, certified compliance auditors, or qualified security professionals.
3. User Accounts and Registration
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information;
- Maintain and promptly update your account information;
- Maintain the security and confidentiality of your login credentials;
- Accept responsibility for all activities that occur under your account;
- Notify us immediately of any unauthorised access to your account.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information. You must not share your login credentials with any third party.
4. Subscription Plans and Payment
4.1 Free Trial
We may offer a free trial period for new users. At the end of the trial period, your account will require a paid subscription to continue accessing premium features. We reserve the right to modify or discontinue trial offers at any time.
4.2 Paid Subscriptions
Paid subscriptions are billed in advance on a monthly or annual basis, as selected during purchase. All fees are quoted in British Pounds (GBP) unless otherwise specified. Prices are subject to change with 30 days' notice.
4.3 Automatic Renewal
Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for the same duration at the then-current price. You authorise us to charge your payment method for recurring fees.
4.4 Refund Policy
Fees are generally non-refundable. However, we provide refunds in the following circumstances:
- 14-Day Cooling Off Period: If you are a consumer in the UK, you have the right to cancel within 14 days of your initial subscription without giving any reason, and receive a full refund;
- Service Not Provided: If we fail to provide the Service as described, you may be entitled to a refund;
- As Required by Law: Your statutory rights under the Consumer Rights Act 2015 are not affected.
To request a refund, contact us at support@assurasec.com with your account details and reason for the request.
4.5 Payment Processing
Payment processing is handled by third-party payment processors (such as Stripe). Your use of these services is subject to their respective terms and privacy policies. We do not store your complete payment card information on our servers.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights;
- Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
- Impersonate any person or entity or misrepresent your affiliation;
- Interfere with or disrupt the Service or servers;
- Attempt to gain unauthorised access to any part of the Service;
- Use automated systems (bots, scrapers, etc.) without our express permission;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service for competitive analysis or to build a competing product;
- Circumvent any access controls or usage limits;
- Share your account or subscription with unauthorised users;
- Resell, sublicense, or commercialise the Service without authorisation.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by Assura or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.
6.2 Your Content
You retain ownership of all data, information, and materials you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, store, and display your User Content solely for the purpose of providing the Service to you.
6.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation or attribution to you.
7. Data and Privacy
7.1 Data Processing
Our collection, use, and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to such processing and warrant that all data provided by you is accurate.
7.2 Data Security
While we implement reasonable security measures to protect your data, no method of electronic storage or transmission is 100% secure. You acknowledge and accept the inherent risks of transmitting data over the internet.
7.3 Data Retention
Upon termination of your account, we may retain your data for a reasonable period for backup, archival, or audit purposes, or as required by law. You may request deletion of your data subject to our retention policies and legal obligations.
8. AI-Generated Content and Recommendations
CRITICAL DISCLAIMER: The Service uses artificial intelligence and machine learning technologies to generate content, analyses, and recommendations. AI-generated outputs may contain errors, inaccuracies, or omissions. You must independently verify all AI-generated content before relying on it for any purpose.
You acknowledge and agree that:
- AI-generated content is provided "as is" without any warranty of accuracy, completeness, or fitness for any purpose;
- AI recommendations are suggestions only and do not constitute professional advice;
- You are solely responsible for reviewing, verifying, and validating all AI-generated outputs;
- Assura is not liable for any decisions made or actions taken based on AI-generated content;
- AI technology may produce unexpected or incorrect results;
- You should not rely solely on AI outputs for compliance, legal, or regulatory decisions.
9. Disclaimer of Warranties
Consumer Rights Notice (UK): Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. As a consumer, you have legal rights in relation to services that are not provided with reasonable care and skill. This disclaimer does not exclude or limit these rights.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, EXCEPT WHERE SUCH WARRANTIES CANNOT BE EXCLUDED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW (and without affecting your statutory rights as a consumer), Assura EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, title, and non-infringement;
- WARRANTIES OF ACCURACY regarding any content, data, or information provided through the Service;
- WARRANTIES OF RELIABILITY that the Service will be uninterrupted, timely, secure, or error-free;
- WARRANTIES OF RESULTS that the Service will meet your requirements or achieve any particular outcome;
- WARRANTIES OF COMPLIANCE that use of the Service will ensure regulatory compliance or certification;
- WARRANTIES REGARDING THIRD-PARTY SERVICES integrated with or accessed through the Service.
We do not warrant that:
- The Service will meet your specific requirements or expectations;
- The Service will be available at all times or any particular time;
- The results obtained from the Service will be accurate, reliable, or complete;
- Any errors or defects in the Service will be corrected;
- The Service is free of viruses or other harmful components;
- The use of the Service will result in compliance with any law, regulation, or standard.
10. Limitation of Liability
Consumer Rights Notice (UK): The limitations below apply only to the extent permitted by law. They do not affect your statutory rights under the Consumer Rights Act 2015 or exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 12 of the Sale of Goods Act 1979; or (d) any other matter for which liability cannot be excluded or limited under applicable law.
10.1 What We Are Not Liable For
To the extent permitted by law, we are not liable for:
- Indirect or consequential losses;
- Loss of profits, revenue, or anticipated savings;
- Loss of data (where you have not maintained backups);
- Regulatory fines, penalties, or sanctions resulting from your compliance decisions;
- Losses arising from your reliance on AI-generated content without independent verification;
- Losses arising from third-party services or integrations.
10.2 Cap on Liability
Subject to Section 10.1 and the Consumer Rights Notice above:
- For consumers: Our maximum liability to you for any claim shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) £500;
- For business users: Our maximum liability to you for any claim shall not exceed the total fees paid by you in the 12 months preceding the claim.
10.3 What We Remain Liable For
We accept liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any breach of the obligations implied by section 12 of the Sale of Goods Act 1979;
- Defective products under the Consumer Protection Act 1987;
- Any other liability that cannot be excluded or limited under applicable law.
10.4 Jurisdictional Variations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall limit any rights you may have under applicable consumer protection laws.
11. Indemnification
Note for consumers: This section applies primarily to business users. If you are a consumer, you are only required to indemnify us to the extent that the claim arises from your breach of these Terms or your unlawful conduct.
You agree to indemnify and hold harmless Assura from claims, liabilities, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of any third-party rights;
- User Content you upload that infringes third-party rights;
- Your fraudulent or unlawful conduct.
This indemnification does not apply to claims arising from our negligence, our breach of these Terms, or defects in the Service.
12. Assumption of Risk
BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- You are using the Service at your own risk;
- You are solely responsible for your compliance decisions and actions;
- The Service is a tool to assist with compliance activities, not a guarantee of compliance;
- You must independently verify all information and recommendations;
- You should consult qualified professionals for legal, regulatory, and compliance advice;
- Compliance requirements vary by jurisdiction and may change over time;
- You assume all risks associated with relying on the Service;
- You waive any claims against Assura for regulatory non-compliance or audit failures.
13. Third-Party Services and Links
The Service may integrate with or contain links to third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party content or services. Your use of third-party services is subject to their respective terms and policies. We are not liable for any damages arising from your use of third-party services.
14. Modifications to the Service
We may modify, update, or improve the Service from time to time. For material changes that adversely affect your use:
- We will provide at least 30 days' notice before the change takes effect;
- If you do not accept a material change, you may terminate your subscription and receive a pro-rata refund for the unused portion;
- Your continued use after the notice period constitutes acceptance of the changes.
Minor updates, bug fixes, and security patches may be applied without prior notice.
15. Modifications to Terms
We may modify these Terms from time to time:
- Minor changes: We may make minor clarifications or corrections at any time;
- Material changes: For changes that materially affect your rights, we will provide at least 30 days' notice via email and/or through the Service;
- Your options: If you do not agree to material changes, you may terminate your account before the changes take effect and receive a pro-rata refund;
- Acceptance: Your continued use of the Service after the notice period constitutes acceptance of the modified Terms.
16. Termination
16.1 Termination by You
You may terminate your account at any time by cancelling your subscription through your account settings. Upon termination:
- Your access to premium features will continue until the end of your current billing period;
- You can export your data before your access ends;
- Refunds are available in accordance with Section 4.4 (Refund Policy).
16.2 Termination by Us
For cause: We may suspend or terminate your access immediately for:
- Serious or repeated violation of these Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Non-payment of fees (after 14 days' written notice and opportunity to cure);
- Valid legal requirement or law enforcement request.
For convenience: We may discontinue the Service with at least 60 days' notice, and you will receive a pro-rata refund for any prepaid fees covering the period after discontinuation.
16.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising from these Terms or your use of the Service.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating any formal proceedings, you agree to first contact us at legal@assurasec.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.
18.2 Arbitration
If informal resolution fails, any dispute shall be finally resolved by binding arbitration in accordance with the rules of the London Court of International Arbitration. The arbitration shall be conducted in London, England, in the English language.
18.3 Individual Claims
To the extent permitted by law, you agree that any claims will be brought in your individual capacity. However, nothing in this section prevents you from:
- Bringing a claim in a small claims court (or equivalent);
- Seeking injunctive or other equitable relief in a court of competent jurisdiction;
- Exercising any rights you have under consumer protection laws;
- Participating in any regulatory action or investigation.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Assura regarding the Service and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
19.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.
19.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
19.5 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, labour disputes, governmental actions, power failures, internet disruptions, or pandemics.
19.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall be construed to confer any rights on any person or entity other than you and Assura.
19.7 Headings
The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.
